1. Acceptance of Terms

Welcome to TaskFlow! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TaskFlow Inc. ("TaskFlow," "we," "us," or "our") governing your access to and use of the TaskFlow platform, including our website, mobile applications, and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Important: These Terms include provisions that limit our liability to you and require you to resolve disputes with us through binding arbitration on an individual basis, not as part of any class or representative action.

2. Description of Services

TaskFlow provides a cloud-based project management and team collaboration platform designed to help teams organize tasks, manage projects, and collaborate effectively. Our Services include:

  • Project and task management tools
  • Team collaboration features including messaging and file sharing
  • Analytics and reporting capabilities
  • Integration with third-party applications
  • Mobile applications for iOS and Android devices
  • API access for developers (subject to additional terms)

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password for your account
  • Never share your password with others
  • Notify us immediately of any unauthorized access to your account
  • Log out of your account at the end of each session

3.3 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Subscription and Payment

4.1 Subscription Plans

TaskFlow offers multiple subscription tiers, including free and paid plans. The features, limitations, and pricing for each tier are described on our pricing page. We reserve the right to modify our subscription plans and pricing at any time.

4.2 Billing and Payment

For paid subscriptions:

  • You will be billed in advance on a recurring monthly or annual basis, depending on your selected plan
  • Payment is due immediately upon subscription and on each renewal date
  • You must provide valid payment information and authorize us to charge your payment method
  • All fees are non-refundable except as required by law or as expressly stated in these Terms

4.3 Price Changes

We may change our subscription fees at any time. We will provide you with at least 30 days' notice of any price increases. If you do not agree to the price increase, you may cancel your subscription before the increase takes effect.

4.4 Free Trials

We may offer free trials for paid subscriptions. At the end of the trial period, you will be automatically charged for the subscription unless you cancel before the trial ends. You may cancel at any time during the trial period without charge.

4.5 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of your subscription, except as required by applicable law.

5. User Content and Data

5.1 Your Content

You retain all ownership rights to the content, data, and materials you upload, submit, or store through the Services ("User Content"). By using the Services, you grant TaskFlow a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, reproduce, and distribute your User Content solely to provide and improve the Services.

5.2 Responsibility for Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with these Terms and all applicable laws

5.3 Data Backup

While we implement reasonable backup procedures, you are responsible for maintaining your own backup copies of your User Content. TaskFlow will not be liable for any loss or corruption of User Content.

5.4 Content Deletion

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable.

6. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Use automated scripts or bots to access the Services
  • Collect or harvest information about other users
  • Impersonate any person or entity
  • Post or transmit spam, advertisements, or unsolicited messages
  • Harass, abuse, threaten, or intimidate other users
  • Post content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Use the Services for any illegal or unauthorized purpose

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

7. Intellectual Property Rights

7.1 TaskFlow's Rights

The Services and all content, features, and functionality (excluding User Content) are owned by TaskFlow and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

7.2 Trademarks

TaskFlow, the TaskFlow logo, and other TaskFlow marks are trademarks of TaskFlow Inc. You may not use these marks without our prior written consent.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Services without any obligation to you.

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

8.1 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Regular security audits and penetration testing
  • Access controls and authentication measures
  • Regular backups and disaster recovery procedures

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting our support team or using the account deletion feature in your settings. Upon termination, your right to access and use the Services will immediately cease.

9.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended periods of inactivity
  • Any other reason at our sole discretion

9.3 Effect of Termination

Upon termination, you will lose access to your User Content stored on the Services. We may, but are not obligated to, provide you with a period to export your data. After termination, we may delete your User Content in accordance with our data retention policies.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TASKFLOW DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless TaskFlow, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.

12.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

12.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaskFlow regarding the Services and supersede all prior agreements and understandings.

12.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms at any time without notice.

12.7 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
